ChapterIGeneralProvisionsArticle1ToregulatethesuspensionandexemptionofinformationdisclosurebyADAMALtd.(hereinafterreferredtoasthe“Company”)andotherinformationdisclosureobligors,strengthenthemanagementofinformationdisclosureaffairs,andprotectthelawfulrightsandinterestsofinvestors,thisPolicyisformulatedinaccordancewiththeSecuritiesLawofthePeople'sRepublicofChina,theCompanyLawofthePeople'sRepublicofChina,theAdministrativeProvisionsontheSuspensionandExemptionofInformationDisclosurebyListedCompanies,theListingRulesoftheShenzhenStockExchange,theShenzhenStockExchangeSelf-RegulatoryGuidanceNo.5-ManagementofInformationDisclosureAffairs,andotherrelevantlaws,regulations,regulatoryrules,andtheprovisionsoftheArticlesofAssociationoftheCompany.Article2ThisPolicyshallapplytothesuspensionorexemptionofdisclosureofinterimreportsbytheCompanyandotherinformationdisclosureobligors,aswellastheexemptionofdisclosingcertaincontentsstipulatedorrequiredbytheChinaSecuritiesRegulatoryCommission(hereinafterreferredtoas“CSRC”)andtheShenzhenStockExchange(hereinafterreferredtoas“SZSE”)intheperiodicorinterimreports.Article3TheCompanyandotherinformationdisclosureobligorsshalldiscloseinformationinatruthful,accurate,complete,timelyandfairmanner.Theyshallnotabusethesuspensionorexemptionofdisclosuretoevadeinformationdisclosureobligationsormisleadinvestors,norshalltheyengageinillegalactivitiessuchasinsidertradingormarketmanipulation.
TheCompanyandotherinformationdisclosureobligorsshallprudentlydeterminemattersforwhichdisclosuremaybesuspendedorexemptedandshallimplementsuchdecisionsaftercompletinginternalreviewprocedures.
ChapterIICircumstancesfortheApplicationofTemporary
SuspensionandExemptionfromInformationDisclosure
Article4WheretheCompanyorotherinformationdisclosureobligorpossessesconclusiveandsufficientevidencedemonstratingthattheinformationtobedisclosedinvolvesnationalsecretsorothermatterswhosedisclosuremayresultinbreachesofstateconfidentialityregulationsoradministrativerequirements(hereinaftercollectivelyreferredtoas“nationalsecrets”),suchdisclosureshallbeexemptedinaccordancewiththelaw.Article5TheCompanyandotherinformationdisclosureobligorsshallbearthedutytosafeguardnationalsecrets.Theyshallnotdisclosenationalsecretsthroughanyformofinformationdisclosure,investorcommunicationsandQ&As,pressreleases,interviews,orsimilarmeans,norshalltheyusethepretextofinformationbeingclassifiedforbusinesspromotion.TheCompany'sChairmanandtheSecretaryoftheBoardshallenhancetheirlegalawarenessregardingthesafeguardingofnationalsecrets,ensuringthatdisclosedinformationdoesnotcontravenenationalconfidentialityregulations.Article6WhereinformationtobedisclosedbytheCompanyorotherinformationdisclosureobligorinvolvescommercialsecretsorconfidentialbusinessinformation(hereinaftercollectivelyreferredtoas“commercialsecrets”),andmeetsanyofthefollowingcircumstances,andhasnotyetbeenmadepublicorleaked,disclosuremaybesuspendedorexempted:
(1)Informationwhichpertainstocoretechnologiesandmaygiverisetounfaircompetitionifdisclosed.
(2)InformationrelatingtotheCompany'sownoperations,ortheoperationsofclients,suppliersorotherparties,thedisclosureofwhichmayinfringeupontheCompany'sorsuchparties’commercialsecretsorseriouslyprejudicetheinterestsoftheCompanyorsuchparties.
(3)OthercircumstanceswheredisclosuremayseriouslyprejudicetheinterestsoftheCompanyorotherparties.Article7WhereinformationcontainedintheCompany'speriodicreportstobedisclosedinvolvesnationalsecretsorcommercialsecrets,disclosureofsuchinformationmaybeexemptedbyemployingmethodssuchasusingaliases,summarizingandgeneralizing,oromittingkeyinformation.WhereinformationininterimreportsintendedfordisclosurebytheCompanyorotherinformationdisclosureobligorsinvolvesnationalsecretsorcommercialsecrets,disclosureofsuchinformationmaybeexemptedbyemployingmethodssuchasusingaliases,summarizinginaggregateform,oromittingkeydetails.Wheredisclosureafteremployingtheaforementionedmethodsstillcarriesariskofdisclosureofconfidentialinformation,disclosureoftheinterimreportsmaybeexempted.Article8WheretheCompanyorotherinformationdisclosureobligorhassuspendedorbeenexemptedfromdisclosingcommercialsecrets,theyshallpromptlydisclosesuchinformationupontheoccurrenceofanyofthefollowingcircumstances:
(1)Thereasonforsuspensionorexemptionhasceasedtoexist.
(2)Therelevantinformationisdifficulttokeepconfidential.
(3)Therelevantinformationhasbeenleaked,orrumorshaveemergedinthemarket.
ChapterIIIManagementofSuspensionandExemptionfor
InformationDisclosure
Article9Theinternalreviewproceduresforsuspendingandexemptinginformation
disclosureshallbeasfollows.
(1)Wheremattersarisethatfallwithintheinformationdisclosurescopebylawsand
regulations,theListingRules,otherrelevantbusinessrulesoftheShenzhenStockExchange,ortheCompany'sInformationDisclosureManagementPolicy,therelevantdepartments,subsidiaries,andotherinformationdisclosureobligorsoftheCompanyshallpromptlynotifytheSecretaryoftheBoardofsuchinformation.IftheythinksuchinformationshouldbesuspendedorexemptedfromdisclosureasoutlinedinthisPolicy,awrittenapplicationshallbesubmittedtotheSecretaryoftheBoardatthesametime.Theapplicationshalldetailthereasonsandbasisforsuspensionorexemption,thepotentialimpactofdisclosure,andshallincludesupportingdocumentationandregistrationdetailsofrelevantinsiders.Theresponsiblepersonnelshallbeaccountablefortheauthenticity,accuracy,andcompletenessofthesubmittedmaterials.
(2)TheSecretaryoftheBoardshallreviewtheinformationandmayorganize
relevantdepartmentssuchaslegalandfinancetoconductdeliberationsasneeded,andshallsubmitittotheChairmanforapproval.Article10WheretheCompanyresolvestosuspendorexemptdisclosureofrelevantinformation,theSecretaryoftheBoardshallpromptlyregisterandfilesuchresolution,withtheChairmansigningtoconfirm.RelevantregistrationmaterialsshallberetainedbytheCompany'sSecuritiesandLegalAffairsDepartmentforaperiodnolessthantenyears.Article11TheCompanyandotherinformationdisclosureobligorsshallregisterthefollowingmatterswhensuspendingorexemptingdisclosureofinformation:
(1)Themethodofexemption,whichincludesexemptionfromdisclosinginterimreports,andexemptionfromdisclosingcertaincontentwithinperiodicandinterimreports,etc.
(2)Thetypeofdocumentssubjecttoexemption,whichincludesannualreports,
half-yearlyreports,quarterlyreports,andinterimreports,etc.
(3)Thetypeofinformationsubjecttoexemption,whichincludesmaterialtransactions,routinetransactions,orrelated-partytransactionsininterimreports,orclientandsuppliernamesinannualreports,etc.
(4)Internalreviewprocedures.
(5)OthermattersdeemednecessaryforregistrationbytheCompany.Wheredisclosureissuspendedorexemptedduetocommercialconfidentiality,inadditiontopromptlyregisteringthemattersspecifiedintheprecedingparagraph,thefollowinginformationshallalsoberecorded:whethertherelevantinformationhasbeenmadepublicthroughothermanners,theprincipalgroundsforclassifyingitasacommercialsecret,thepotentialimpactofdisclosureontheCompanyorothers,andthelistofinsiders.Article12WheretheCompanyorotherinformationdisclosureobligorsuspendsthedisclosureofaninterimreportorcertaincontentstherein,itshallpromptlydisclosesuchinformationoncethegroundsforsuspensionceasetoexist.Concurrently,itshallexplaintheprincipalreasonsforclassifyingtheinformationasacommercialsecret,theinternalreviewproceduresfollowed,andanysecuritiestransactionsconductedbyrelevantinsidersduringthesuspensionperiod.Article13TheCompanyandotherinformationdisclosureobligorsshall,withintendaysofannouncingtheannual,semi-annual,orquarterlyreports,submittherelevantregistrationmaterialspertainingtothesuspensionorexemptionofdisclosuresduringthereportingperiodtotheHubeiSecuritiesRegulatoryBureauandtheShenzhenStockExchange.
ChapterIVAccountability
Article14WhereabreachofinformationdisclosureregulationsoccursduetothenegligenceofpartiesinvolvedinsuchdisclosuresunderthisPolicy,resultinginseriousimpactsorlossesfortheCompany,theresponsibleindividualsshallbesubject
todisciplinaryactionincludingreprimand,warning,orevenremovalfromtheirposts.
ChapterVSupplementaryProvisionsArticle15WheremattersarenotcoveredbythisPolicy,orwherethisPolicyconflictswithrelevantlaws,administrativeregulations,normativedocumentsorotherprovisions,therelevantlaws,administrativeregulations,normativedocumentsorotherprovisionsshallprevail.Article16ThisPolicyshallbeformulated,interpretedandamendedbytheCompany'sBoardofDirectors.Article17ThisPolicyshalltakeeffectandcomeintoforcefromthedateoftheirapprovalbytheCompany'sBoardofDirectors.
